Terms of Service

Last updated:
These Terms of Service (“Terms”) govern your use of the Oat mobile application, its Apple Watch companion and share extension, the website at www.oatapp.co, and related services (collectively, the “Services”). The Services are operated by MyProviders Family LLC (“Oat,” “we,” “us,” or “our”). These Terms form an agreement between you and MyProviders Family LLC.
By creating an account or using the Services after being presented with these Terms, you agree to them. If you do not agree, do not use the Services. Our Privacy Policy describes how we process personal information. Agreement to these Terms does not substitute for any separate consent required by applicable privacy law or your device’s permission settings.
1. Eligibility and accounts
You must be at least 13 years old and meet any higher minimum age required by applicable law to use the Services. If you have not reached the age of legal majority where you live, you may use the Services only with the permission and supervision of a parent or legal guardian who agrees to these Terms. You must have the legal capacity or authorization necessary to enter into this agreement.
Some features work without an account; others require sign-in. You agree to provide accurate account information, protect your credentials, and notify us promptly if you believe your account has been accessed without permission. You must not use another person’s account without authorization or impersonate another person. You are responsible for activity you authorize through your account.
2. Use of the Services and Apple’s standard license
Subject to these Terms, you may access the Services for your personal, noncommercial shopping, cooking, and household planning. Your license to the iOS and watchOS applications distributed through the App Store is governed by Apple’s Standard End User License Agreement (“Apple Standard EULA”). These Terms supplement that agreement for Oat’s Services and do not replace it or constitute a custom App Store EULA. If there is a conflict concerning the license to the application, the Apple Standard EULA controls.
Except for your content and third-party material, the Services, including their software, design, branding, and original content, belong to MyProviders Family LLC or its licensors. No ownership rights are transferred to you. Rights not expressly granted are reserved. Third-party and open-source components remain subject to their applicable licenses.
3. Your content and imported recipes
“Your Content” means recipes, notes, shopping items, images, links, and other material you submit or save through the Services. You retain whatever ownership rights you have in Your Content. Importing material from another website does not transfer the original creator’s rights to you or to Oat.
You grant MyProviders Family LLC a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, process, transmit, and display Your Content only as needed to operate and support the features you use, including synchronization, household sharing, and requested AI processing. We may permit our service providers to exercise these rights solely to provide those services on our behalf. This license does not authorize us to sell Your Content or use it in advertising.
You are responsible for having the rights or permissions necessary to submit, import, and share Your Content. Do not use Oat to infringe copyright, violate another person’s privacy, bypass access restrictions, or breach the applicable terms of a source website. An import feature’s availability does not establish that a particular use of third-party material is permitted.
The content license ends when the relevant content is deleted from our systems, except to the extent needed for shared records that remain with other household members, limited backup or legal retention described in our Privacy Policy, or copies you separately authorized others to retain. Those exceptions remain subject to the same limited purposes.
To report a suspected rights violation, contact support@oatapp.co with a description of the protected material, the content or location at issue, and sufficient information for us to understand the claim and contact you. We may restrict or remove content while investigating a credible report or when required by law.
4. Shared households
When you create or join a household, its members can access and change shared shopping lists, meal plans, favorites, cooking activity, goals, and recipes as permitted by the Services. Other members’ changes may affect content you added. Share invitation links only with intended recipients; anyone receiving a valid link may be able to join, including someone to whom a recipient forwards it.
Leaving a household or deleting your account does not necessarily erase shared records from other members’ accounts. Personal recipes follow their author when the author leaves and are removed from active systems when the author’s account is deleted. Other members may retain shared list and meal records or copies they previously saved. The Privacy Policy explains retention and deletion in more detail.
5. AI assistance and cooking information
Oat offers optional features that use artificial intelligence to interpret voice input and structure or translate recipe information. Automated output may be inaccurate, incomplete, or unsuitable for your circumstances. Review and correct transcriptions, ingredients, quantities, translations, and instructions before relying on them. Output may be similar to content provided to other users and is not guaranteed to be unique or eligible for intellectual property protection.
Recipes, recommendations, cooking goals, and estimates about recently purchased food are provided for general household planning. They are not medical or nutritional advice, an allergen verification service, or a determination that food is safe to eat. Check ingredient labels, dietary restrictions, storage conditions, cooking temperatures, and relevant food-safety guidance for your circumstances. Oat cannot verify the condition of food in your home. Nothing in this section excludes responsibility that cannot lawfully be excluded.
6. Acceptable use
You agree not to:
- Use the Services for unlawful, fraudulent, abusive, or otherwise rights-infringing activities.
- Upload malicious code, interfere with service operation, or bypass authentication, access controls, or usage limits.
- Access or attempt to obtain another user’s account, household, or private information without permission.
- Use automated requests in a manner that disrupts the Services or extracts content you are not authorized to access.
- Misrepresent your identity, distribute spam, or use shared content to harass or threaten others.
Fair use. Features described as unlimited, including creating recipes with Plus or during a trial, are for personal and household use. To keep the Services available and affordable for everyone, we may limit use that goes well beyond what a household would typically need, such as automated, bulk, or commercial use, including by pausing a feature until the next month.
Restrictions in these Terms do not limit activities expressly protected by applicable law, including rights under applicable open-source licenses.
7. Third-party services
Oat may link to or display external recipe websites, videos, search results, AI services, or shopping applications. If you choose to open or send information to a third-party service, its terms and privacy practices apply to your use of that service. Oat does not control independent third-party content, availability, pricing, delivery, or performance.
A shopping handoff or exported list does not itself place an order or guarantee a product’s availability. Review and authorize any purchase in the receiving service. Any resulting transaction is between you and the relevant provider or retailer, subject to your applicable consumer rights.
8. Availability and changes to the Services
Features may depend on your device, operating system, network connection, account status, or third-party services. Synchronization may be delayed or interrupted. We do not promise uninterrupted access or that every feature will remain available indefinitely.
We may maintain, update, or modify the Services. If we discontinue the Services or make a change that materially reduces their functionality, we will provide reasonable advance notice where practicable and any notice or remedy required by law. Urgent security, abuse-prevention, or legal needs may require immediate action. These Terms do not authorize charges without a separate purchase authorization.
9. Suspension, termination, and deletion
You may stop using the Services at any time. You can delete your account in Oat by opening your profile, selecting Account, then Delete account, and confirming. Removing the app from your device does not delete an account. Contact support@oatapp.co if you need assistance.
We may restrict or suspend access, remove content, or terminate an account where reasonably necessary because of a material breach of these Terms, unlawful activity, a security risk, or a legal requirement. Where appropriate and legally permitted, we will provide notice and an opportunity to address the issue. You may contact us to request review of an account restriction.
Following termination, your right to access the affected Services ends. Information is retained or deleted as described in our Privacy Policy. Provisions that by their nature must continue, including accrued obligations, ownership, limited content-retention rights, liability provisions, and dispute provisions, survive termination to the extent applicable.
10. Disclaimers
To the extent permitted by applicable law, the Services are provided “as is” and “as available.” We do not warrant that the Services or their content will be error-free, continuously available, or suitable for every purpose, and we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent those warranties may lawfully be disclaimed. This does not affect any express commitments we make or any statutory warranties or consumer guarantees that cannot be excluded. The Apple Standard EULA separately governs warranties relating to the licensed application.
11. Liability and consumer protections
To the extent permitted by applicable law, MyProviders Family LLC is not liable for indirect, incidental, special, or consequential losses arising from use of or inability to use the Services, including lost profits or business opportunities. This limitation does not exclude liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that applicable law does not permit us to exclude or limit.
Nothing in these Terms limits mandatory consumer protections, statutory remedies, or rights under applicable data protection law. If you are entitled by law to compensation, repair, replacement, a refund, or another remedy, these Terms do not remove that entitlement. Limitations apply only to the extent lawful in your jurisdiction. The Apple Standard EULA continues to govern liability within its scope.
12. Questions and disputes
Please contact support@oatapp.co with a description of a concern so we can try to resolve it. Contacting us is not a prerequisite to exercising a legal right and does not shorten or extend any statutory deadline. Disputes may be brought before a court with jurisdiction under applicable law. These Terms do not require arbitration or waive any right to participate in a collective proceeding that is available under applicable law.
13. Changes to these Terms
We may update these Terms to reflect changes in the Services or legal requirements. We will post the revised Terms here and update the date above. For material changes, we will provide appropriate notice before they take effect, except where an immediate change is legally required, and seek renewed agreement where required by law. Changes do not retroactively alter rights or obligations arising before they take effect. If you do not agree to revised Terms, you may stop using the Services and delete your account.
14. General provisions and contact
These Terms and any separately applicable terms expressly identified here govern their respective subject matter. If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later. We may transfer this agreement in connection with a lawful transfer of the Services, provided that doing so does not reduce your mandatory rights and the successor assumes our obligations.
The Services are provided by MyProviders Family LLC. For support, questions about these Terms, or notices relating to the Services, contact support@oatapp.co.
